Terms of Service

The rules for using EntitySentry, including what the service does and does not promise.

Last updated October 2026.

1. What the service is

EntitySentry monitors the status of business entities in official state public records and notifies you when that status changes. That is the whole service. It is status monitoring, not legal advice, tax advice, compliance certification, or a guarantee of any outcome.

EntitySentry is not a law firm and not an accounting firm. No attorney-client or accountant-client relationship is created by using it. For advice about your situation, consult your attorney or CPA.

2. Data accuracy

Our information comes from public government sources. Those sources can be delayed, incomplete, or wrong, and agency systems can be unavailable when we check. Status changes may appear in our records later than they occurred, and matching an entity to a record is not always exact.

Before you rely on a status for any decision — a closing, a filing, a loan, a transaction — verify it directly with the official agency. EntitySentry does not warrant that information in the service is accurate, current, or complete.

3. Not a consumer reporting agency

EntitySentry is not a consumer reporting agency as defined by the Fair Credit Reporting Act (FCRA), and the information we provide is not a consumer report.

You may not use the service, in whole or in part, for any purpose covered by the FCRA, including to establish eligibility for credit or insurance, for employment screening, for tenant or housing screening, or for any other decision about an individual's eligibility for a personal benefit. You may not use the service to make decisions about individuals.

4. Acceptable use

  • Do not scrape, resell, or redistribute data from the service except as your plan allows.
  • Do not use the service to harass, locate, or profile any individual.
  • Do not attempt to interfere with, overload, or gain unauthorized access to the service.
  • You are responsible for activity under your account and for keeping credentials secure.

5. Subscriptions, cancellation, and refunds

Paid plans are billed in advance, annually for the Owner plan and monthly for Firm plans, and renew automatically until cancelled. Payments are processed by Stripe. Prices are subject to change; we will give notice before a change applies to your renewal.

You may cancel at any time from your account or by emailing us. Cancellation takes effect at the end of the current billing period, and monitoring continues until then. We do not provide pro-rated refunds for partial periods, except where required by law or where we have clearly failed to provide the service. Done-for-you filing engagements are quoted and billed separately and are non-refundable once filing work has begun; government filing fees are never refundable.

6. Disclaimer of warranties

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that alerts will be timely, uninterrupted, or error-free.

7. Limitation of liability

To the maximum extent permitted by law, EntitySentry will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, penalties, interest, tax liabilities, or loss of good standing, arising from or related to the service — including from a missed, delayed, or inaccurate alert.

Our total aggregate liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

8. Indemnity

You agree to indemnify and hold EntitySentry harmless from claims arising out of your use of the service in violation of these terms or applicable law, including any use for an FCRA-covered purpose.

9. Changes and termination

We may modify the service or these terms. Material changes will be posted here with an updated date and, for account holders, sent by email. We may suspend or terminate an account that violates these terms.

10. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Texas, and you consent to their jurisdiction.
